Depending on the services purchased, eFIRMS may provide commitments relating to:

- Search Engine Optimization (SEO)
- Marketing campaign management
- Lead generation systems
- Sales automation
- Reporting and optimization
Specific commitments, deliverables, timelines, and performance expectations may vary based on the package selected and shall be outlined within the applicable client agreement.
While eFIRMS stands behind the quality of its work and delivery of agreed services, business outcomes such as rankings, leads, appointments, sales, revenue, return on investment, and business growth are influenced by factors outside of eFIRMS’ control including:
- Market conditions
- Competition
- Advertising budgets
- Offer quality
- Pricing
- Sales performance
- Customer response times
- Business operations
- Client participation
Unless expressly stated within a separate written agreement, eFIRMS does not guarantee specific business outcomes, revenue targets, lead quantities, appointment volumes, search engine rankings, or financial results.
Any performance commitments, guarantees, service-level agreements, or results-based programs shall be governed solely by the specific written agreement associated with that service.
4. AI Services Disclaimer
Certain services utilize artificial intelligence, machine learning, automation platforms, voice technology, and third-party software providers.
AI-generated content, recommendations, reports, communications, workflows, voice responses, and chat responses may contain inaccuracies, omissions, or errors.
Clients remain responsible for reviewing, approving, and ensuring compliance with applicable laws, regulations, and industry requirements.
eFIRMS shall not be liable for decisions made based upon AI-generated outputs.
5. CRM, AI Usage & Additional Fees
Certain services may involve additional usage-based costs beyond standard monthly fees.
These may include but are not limited to:
- AI processing credits
- Voice AI minutes
- Phone call usage
- SMS messaging
- Email sending
- Domain registrations
- Hosting services
- Third-party software subscriptions
- CRM platform fees
- Workflow execution fees
- Lead enrichment services
- Data acquisition costs
- API usage fees
Clients are responsible for all applicable usage-based charges incurred through their account or services.
6. Client Data & Account Ownership
Clients retain ownership of their business data including:
- Contacts
- Leads
- Opportunities
- Customer records
- Client-generated content
Where technically available, clients may request export of their data upon cancellation.
eFIRMS retains ownership of:
- Proprietary workflows
- Snapshots
- Templates
- Automation systems
- AI training models
- Internal processes
- Intellectual property
- Marketing systems
Upon cancellation, certain systems, automations, workflows, AI agents, and proprietary assets may be removed, disabled, or terminated.
7. Website Development & Ownership
Ownership rights relating to websites, designs, content, hosting, software, and custom functionality may vary based upon project agreements.
Unless otherwise stated:
- Clients retain ownership of content they provide.
- eFIRMS retains ownership of proprietary templates, systems, frameworks, automations, and intellectual property.
Project-specific ownership terms shall be outlined in individual agreements.
8. Payment Terms
All invoices must be paid according to the payment schedule outlined within the client’s agreement.
Late payments may result in:
- Suspension of services
- Restricted account access
- Removal of hosted assets
- Delayed project delivery
9. Refund Policy
Due to the nature of digital services, implementation work, software, consulting, automation, and marketing services, all fees paid to eFIRMS are non-refundable unless otherwise stated in writing.
This includes:
- Setup fees
- Monthly fees
- Retainers

- Consulting fees
- Development fees
10. Done-For-You Marketing Services
Done-For-You (DFY) Marketing Services require an initial ninety (90) day commitment.
Following completion of the initial term, services automatically continue on a month-to-month basis.
Cancellation requires thirty (30) days written notice.
Early termination of the initial commitment does not relieve the client of payment obligations associated with the agreed term.
11. Testimonials & Marketing Usage
Unless otherwise requested in writing, eFIRMS may use:
- Testimonials
- Reviews
- Company names
- Business logos
- Project outcomes
- Case studies
for marketing, portfolio, educational, and promotional purposes.
12. Limitation of Liability
To the fullest extent permitted by law, eFIRMS shall not be liable for:
- Loss of profits
- Loss of revenue
- Business interruption
- Data loss
- Indirect damages
- Consequential damages
- Special damages
arising from use of the website, services, software, automation systems, or third-party platforms.
